2.2 You acknowledge that the Platform serves as a venue for the online distribution and publication of user submitted information between us and Customer, and, by using, visiting, registering for, and/or otherwise participating in this Platform, including the Services presented, promoted, and displayed on the Platform, and by proceeding with registration with TA Studios Pvt Ltd, you hereby certify that: (1) you are either a Supplier or a prospective Customer; (2) you have the authority to enter into these Terms of Use; (3) you authorize the transfer of payment for Services requested through the use of the Platform; and (4) you agree to be bound by all terms and conditions of these Terms of Use and any other documents incorporated by reference herein. If you do not so agree to the foregoing, you should not click to affirm your acceptance thereof, in which case you are prohibited from accessing or using the Platform. If you do not agree to any of the provisions set forth in the Terms of Use, kindly discontinue viewing or participating in this Platform immediately. You further acknowledge that TA Studios Pvt Ltd will be in no way be responsible or liable for any loss, damages or loss of opportunity with respect to any transactions performed between you and any other party made via the TA Studios Pvt Ltd Platform.

 

2.3 All references to "you" or "your," as applicable, mean the person that accesses, uses, and/or participates in the Platform in any manner. If you use the Platform or open an Account (as defined below) on behalf of a business, you represent and warrant that you have the authority to bind that business and your acceptance of the Terms of Use will be deemed an acceptance by that business and "you" and "your" herein shall refer to that business.

 

3.   MAINTAINING AN ACCOUNT AND ELIGIBILITY

3.1.      You must be at least 18 years of age to obtain an Account, unless a specific service permits otherwise or you use/access the Platform under the supervision of an adult parent or legal guardian who agrees to be bound by these Terms of Use. You are however prohibited (even under provision) from purchasing any product(s) which is for adult consumption, the sale of which is prohibited to minors.

 

3.2.      Account registration requires you to submit certain personal information to TA Studios Pvt Ltd, such as your name, address, mobile phone number and age, as well as valid government issued identification and trade licenses (if applicable), government approvals allowing you to offer your services and/or requisite tax registrations. You agree to maintain accurate, complete, and up-to-date information in your Account at all times and you acknowledge that failure to do so shall result in your access to the Services being suspended without notice to you.

You agree and acknowledge that you will not allow any other person to access and use your account and that you will not share your login credentials (i.e. your username and password) with any other person. If it is reasonably suspected by us that you have shared your login credentials or allowed a person other than yourself to access and use your Account, your access to the Account will be suspended without notice to you. In cases where it is established that you have allowed a person other than yourself to access and use your Account, these Terms of Use will stand terminated and your access to the Services will be permanently revoked without notice to you.

 

3.4.      You may only possess one Account. If it is found that you possess multiple Accounts on Our Platform, your access to all Accounts on the Platform will be permanently revoked without notice.

Notwithstanding the foregoing, you may be liable for the losses of TA Studios Pvt Ltd or others due to such unauthorised use.

If it is found that you have violated this prohibition you will lose access to the TA Studios Pvt Ltd Platform. 7.   CANCELLATIONS

7.1.  Orders may be cancelled by us in any of the following cases: (a) if it is suspected that a user has undertaken a fraudulent transaction, or (b) if it is suspected that a user has undertaken a transaction which does not conform to or violates these Terms, or (c) in case of unavailability of product(s), or (d) for any reason outside the control of TA Studios Pvt Ltd including causes for delivery related logistical difficulties, or (e) any errors in product details or pricing.

 

7.2.  The cost of certain products and Services may not be current or may be inaccurate on account of technical issues, typographical errors or incorrect product information provided to the Company by third-party seller. In each such case we have the right to cancel your order.

 

7.3.  If we cancel your order, we will notify you and provide you with any additional instructions, if necessary.

 

7.4.  If your payment has already been processed, the refunded amount will be reversed back to your original payment method within a period of 7-14 working days   .

 

7.5.  We shall be entitled to maintain a list of all fraudulent transactions and non-complying users, and reserve the right to deny access to such users at any time or cancel any orders placed by them in future

 

7.6.  You may cancel your order before dispatch by contacting our support team at customer.support@taroob.com. Once the order is dispatched, cancellations will no longer be accepted.

 

 

8.   BILLING AND ACCOUNT INFORMATION

TA Studios Pvt Ltd is and shall be under no obligation to: (i) maintain any Comments in confidence; or (ii) pay compensation for any Comments; or (iii) respond to any Comments. You agree that any Comments submitted by you on the Platform will not violate the Terms of Use or any right of any third party, including copyright, trademark, privacy or other personal or proprietary right(s), and will not cause injury to any person or entity.

 

11.3.   You further agree that no Comments submitted by you on the Platform will be or contain libellous or otherwise unlawful, threatening, abusive or obscene material, or contain software viruses, political campaigning, commercial solicitation, chain letters, mass mails or any form of ‘spam’. 

 

11.4.   TA Studios Pvt Ltd reserves the right (but assumes no obligation) to monitor, edit and/or remove any Comments submitted on the Platform. You hereby grant TA Studios Pvt Ltd the right to use names that you submit in connection with any Comments. 18. VIRUSES, PIRACY AND OTHER CYBER ATTACKS

18.1.   You must not make undue use of this Website by intentionally introducing viruses, worms, logic bombs or any other software or technologically damaging or harmful material. You shall not attempt to make unauthorised access to this Website, the server on which the site is hosted or any server, computer or database related to our Website. 20. PAYMENT

The amount will be collected in accordance with the terms and conditions of these Terms of Use and the pricing terms set forth in the applicable catalogue listing. Please note that we cannot control any amount that may be charged to you by your bank related to collection of the total amount on the Platform, and we disclaim all liability in this regard.

20.4.   All the products listed on the Platform will be sold at MRP unless otherwise specified. Further, the prices reflected on the Platform are determined solely by us.

21.1.   By creating an Account, you agree that the Platform/Services may send you text messages as part of the normal business operation of your use of the Platform/Services. You consent to receiving such text messages and acknowledge that any steps taken by you not to receive such text messages will affect your use of the Services.

 

22. OWNERSHIP

22.1.   The Services and all rights therein are and shall remain TA Studio’s property or the property of TA Studio’s licensors. Neither these Terms of Use nor your use of the Services convey or grant you any rights to use or reference in any manner TA Studio’s company names, logos, product and service names, trademarks or service marks or those of TA Studio’s licensors (“Marks”).

 

23. TERMINATION

23.1.   These Terms of Use will remain in effect until terminated by either you or TA Studios Pvt Ltd. You may terminate this user agreement/ Terms of Use at any time by way of discontinuing any further use of the Platform. TA Studios Pvt Ltd may terminate this user agreement/ Terms of Use at any time and may do so immediately without notice, and accordingly deny you access to the Platform.

 

23.2.   TA Studios Pvt Ltd’ right to any comments and to be indemnified pursuant to the terms hereof, shall survive any termination of this user agreement/ Terms of Use. Any such termination of the user agreement/ Terms of Use shall not cancel your obligation to pay for product(s) and services already ordered from the Platform or affect any liability that may have arisen under the user agreement/ Terms of Use prior to the date of termination.

 

24. MISCELLANEOUS

24.1. LOCATION BASED SERVICES

Basis the permission granted by you in respect of tracking the location, our Website may use the information from Global Positioning System (GPS) networks, cellular, Wi-Fi or Bluetooth to determine the your approximate location to provide you, location based Services.

 

24.2.   WAIVING RIGHTS  

The lack of requirement on our part for strict compliance on your part with any of the obligations assumed by you by virtue of a contract or of these Conditions or a lack of exercising on our part of the rights or actions that correspond to us by virtue of this contract or of the Conditions shall not constitute the waiving or limitation of said rights or actions, nor exonerate you from fulfilling said obligations. The waiving on our part of a specific right or action shall not constitute the waiving of other rights or actions derived from the contract or from the Conditions. The waiving on our part of any of these Conditions or of the rights or actions derived from the contract shall not take effect unless expressly stipulated that it is a waiving of rights and is formalised and notified to you. Any delay or waiver of right or remedy by TA Studios Pvt Ltd under these Terms of Use shall not constitute a waiver of any other or further rights and remedies and shall not prevent TA Studio in exercising those rights and remedies subsequently. Any waiver of rights or remedies by TA Studio shall be in writing.

 

24.3.   ENTIRE CONTRACT

These Conditions and any document referenced in the same constitute the Entire Contract between the Parties as regards the purpose of the same, replacing any previous pact, agreement or promise made between the Parties verbally or in writing. The Parties acknowledge that we have agreed to enter into the Contract without depending on any declaration or promise made by the other Party or that could have been inferred from any statement or document in the negotiations entered into by the two Parties prior to said Contract, except those expressly mentioned in these Conditions.  Neither Party shall take any action regarding any untrue statement made by the other Party, verbally or in writing, prior to the date of the Contract (unless said untrue statement was made fraudulently). The only action that may be taken by the other Party shall be due to breach of contract in accordance with the provisions of these Conditions.

 

24.4.   SEVERABILITY

Each of the provisions in these Conditions are severable and distinct from the others and if at any time one or more such provisions is or becomes invalid, illegal or unenforceable, the validity, legality and enforceability of the remaining provisions of these Conditions shall not in any way be affected or impaired thereby. 

 

24.5.   PARTIAL INVALIDITY

If any provision of these Conditions is held to be illegal, invalid, or unenforceable under any present or future applicable Indian law, (i) such provision will be fully severable; (ii) these Conditions will be construed and enforced as if such illegal, invalid, or unenforceable provision had never comprised a part hereof; (iii) the remaining provisions of these Conditions will remain in full force and effect and will not be affected by the illegal, invalid, or unenforceable provision or by its severance here from.

 

24.6.   ASSIGNMENT

The User shall not assign its rights or obligations under these Terms and the Privacy Policy to a third party. TA Studios Pvt Ltd in its discretion has the right to assign and transfer any or all of its rights, benefits and obligations under these Terms of Use or a transaction transacted through the Website, to any person. TA Studios Pvt Ltd including affiliates, associates and their respective owners, directors, officers, agents, shareholders and partners shall have no liability for the non-receipt of the Website’s service messages and notices.

 

 

25. GOVERNING LAW, JURISDICTION AND DISPUTE RESOLUTION

25.1.   The Terms of Use shall be governed by and construed in accordance with the laws of India, without giving effect to the principles of conflict of laws thereunder.

 

25.2.   Any dispute or difference, whether on the interpretation or otherwise, in respect of any terms hereof shall be referred to an independent arbitrator to be appointed by TA Studios Pvt Ltd. Such arbitrator’s decision shall be final and binding on the parties. The arbitration shall be in accordance with the Arbitration and Conciliation Act, 1996, as amended or replaced from time to time. The venue of arbitration shall be ___________ and the language of the arbitration shall be English.

 

25.3.   Subject to the aforesaid, the Courts at Punjab shall have exclusive jurisdiction over any proceedings arising in respect of the User Agreement.

 

26. MODIFICATION TO TERMS OF USE

26.1.   TA Studios Pvt Ltd reserves the right, in its sole discretion, to change, modify, or remove portions of the Terms of Use, and any other documents incorporated by reference herein, at any time, for which the changes will be effective when TA Studios Pvt Ltd posts the amended Terms of Use at the domain of “taroob.com”. It is your responsibility to review the Terms of Use for any changes. Your continued use of the Platform following any amendment of the Terms of Use will signify your assent to and acceptance of any revised Terms of Use. If you do not agree to abide by these or any future Terms of Use, please do not use or access the Platform. 

 

27. FORCE MAJEURE

27.1.   We will not be held responsible for any delay or failure to comply with its obligations if the delay or failure arises from any cause which is beyond our reasonable control.
